Terms of Use
These Terms of Use (the "Terms") govern your use of praetorlink.com and any page that links to them (the "Site"), operated by PraetorLink LLC ("PraetorLink," "we," "us" or "our"). By using the Site you agree to these Terms. If you do not agree, do not use the Site.
Please read the Dispute resolution section carefully. It requires most disputes to be resolved by individual binding arbitration and waives class actions, unless you opt out as described there.
Who may use the Site
You must be at least 13 years old to use the Site. If you are under 18, you may use the Site only with the involvement of a parent or legal guardian who agrees to these Terms.
Our apps, games and services
The Site describes PraetorLink's software, media and games. Any app, game, service or project we provide to you is governed by its own terms, statement of work or license agreement. If those terms conflict with these Terms, those terms control for that product. Nothing on the Site is an offer, quote or guarantee of results unless it is made in a signed writing.
Intellectual property
The Site and everything on it, including text, graphics, logos, the PraetorLink name and crest, software and videos, are owned by PraetorLink or its licensors and are protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your personal, non-commercial use. You may not copy, modify, distribute, sell, frame or create derivative works from any part of the Site, or use our name, crest or marks, without our prior written permission.
Acceptable use
You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorized access to the Site or its systems; interfere with or disrupt the Site; scrape, crawl or harvest data from the Site by automated means except as permitted by our robots.txt; upload or transmit malware; impersonate any person; or use the Site to infringe anyone's rights.
Messages and feedback
If you email us or send ideas, suggestions or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use that feedback for any purpose without obligation to you. Do not send confidential information unless we have first agreed in writing to keep it confidential.
Third-party links and services
The Site links to services we do not control, such as YouTube, X and TikTok. We are not responsible for their content, policies or practices, and your use of them is governed by their own terms.
Disclaimer of warranties
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE. CONTENT ON THE SITE IS FOR GENERAL INFORMATION ONLY.
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRAETORLINK AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THESE MAY NOT APPLY TO YOU.
Indemnification
You agree to defend, indemnify and hold harmless PraetorLink and its members, managers, employees, contractors and agents from any claims, losses, liabilities, damages, costs and expenses, including reasonable attorneys' fees, arising out of your use of the Site, your violation of these Terms or your violation of any rights of another.
Dispute resolution
Informal resolution first. Before filing any claim, you agree to email us at [email protected] with a description of the dispute and try in good faith to resolve it for at least 30 days.
Binding arbitration. Any dispute arising out of or relating to the Site or these Terms that is not resolved informally will be resolved by final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court. The Federal Arbitration Act governs this section.
Class action waiver. You and PraetorLink each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding.
Opt-out. You may opt out of arbitration within 30 days of first using the Site by emailing [email protected] with your name and a clear statement that you opt out of arbitration.
Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
Governing law and venue
These terms are governed by the laws of the State of Maryland and applicable federal law, without regard to conflict-of-law rules. Subject to the arbitration section above, any claim not subject to arbitration must be brought only in the state or federal courts located in Maryland, and you consent to their personal jurisdiction.
Changes and termination
We may update these Terms at any time by posting a new version on this page with a new "Last updated" date. Continued use of the Site after a change means you accept it. We may suspend or end your access to the Site at any time. Sections that by their nature should survive termination will survive.
General
If any part of these terms is found unenforceable, that part will be enforced to the maximum extent allowed and the rest will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these terms; we may assign them in connection with a merger, reorganization or sale of assets. These terms, together with any policies they reference, are the entire agreement between you and us about their subject matter. Section headings are for convenience only.
